GameStop shares rise 5% after debt exchange announcement

GameStop announced amendments to its exchange agreements covering approximately $1.4 billion in convertible senior notes. Noteholders will receive 55.5 million shares of Class A common stock, representing 73% of total consideration, plus $358.4 million in cash for the remaining 27%. This cash component significantly reduces dilution for existing shareholders, pushing the stock price up 5.4%. The company’s cash and marketable securities are estimated between $5.05 billion and $5.07 billion. For Q2 2026, net sales are projected between $780 million and $800 million, down 18 to 20% year-over-year, while net income is expected between $290 million and $310 million, nearly double last year’s figure.
