Anthropic considers limiting shareholder sales and extending lockup period for IPO

Anthropic, the AI company behind the Claude model family, confidentially filed its S-1 with the SEC on June 1, 2026, targeting an IPO in October 2026. The company, which completed a $65 billion Series H funding round in May 2026 pushing its private valuation to approximately $965 billion, is seeking to raise over $60 billion, valuing the firm between $1 trillion and $2 trillion. Anthropic plans to extend the lockup period beyond the standard 90 to 180 days and allow certain existing shareholders to sell a limited number of shares on the first day of trading. The company will also require employees to use pre-scheduled 10b5-1 trading plans and maintain founder control through super-voting shares and a dedicated trust.
