The U.S. Securities and Exchange Commission is pursuing a civil case against BG Wealth Sharing and DSJ Exchange, alleging that they raised more than $130 million from tens of thousands of retail investors. The regulator alleges that the defendants used false Form ADV and Form D filings, along with promises of extraordinary, risk-free trading returns, to sell an investment program built around purported crypto trading signals. Neither entity was registered with the SEC, which is seeking remedies including injunctions, disgorgement and civil penalties. The disputed filings have been removed from the Commission’s website. These claims are allegations in civil proceedings and do not constitute a criminal conviction or a final judicial determination.
