SEC Crypto Proposal Offers New Paths for Crypto Asset Issuers

The SEC proposed Regulation Crypto Assets, a framework allowing eligible projects to raise up to $75 million over any 12-month period without registering with the Securities and Exchange Commission. The proposal includes two exemptions: one capped at $5 million over four years and another permitting $75 million per 12-month period. Issuers using either exemption must provide principles-based narrative disclosures, audited financial statements at certain capital-raising thresholds, and ongoing reporting requirements. SEC Chairman Paul Atkins stated that this approach aims to stop the offshore migration of investments and provide better protection for U.S. investors. The consultation period is set at 60 days after publication in the Federal Register.
