G42, Abu Dhabi’s flagship AI company, is exploring a full reincorporation in the US with majority ownership shifting to American investors to circumvent American export controls restricting access to advanced semiconductors from Nvidia and AMD. This restructuring follows Microsoft’s $1.5 billion investment in April 2024, which was conditioned on G42 divesting from Chinese technology investments, particularly Huawei. The company already secured approval in November 2025 for the acquisition of 35,000 Nvidia Blackwell-equivalent chips, with discussions ongoing for larger volumes within a nine-month window opened by the UAE’s reclassification into a more favorable export category. A US reincorporation would provide G42 with durable structural access to American technology beyond these one-time approvals.
