The Securities and Exchange Commission charged BG Wealth Sharing Ltd. and DSJ Exchange Pty Ltd. with running a crypto investment fraud that used false filings submitted to the SEC to raise more than $130 million from tens of thousands of retail investors. From at least October 2025 through June 2026, the Colorado-incorporated companies allegedly induced investors across more than 40 states and several U.S. territories to join a wealth-sharing program promising risk-free returns through purported crypto trading signals. The defendants falsely claimed that BG Wealth was registered with the SEC and partnered with DSJ Exchange as a licensed and secure trading platform, and allegedly presented fake certificates bearing the SEC seal. According to the complaint, the companies submitted false Form ADV and Form D filings, made periodic payments to some investors and misappropriated the remaining funds in a Ponzi-like tactic. The SEC removed the filings from its website and seeks permanent injunctions, disgorgement with prejudgment interest and civil penalties, as well as conduct-based injunctions against BG Wealth.
