Meta Platforms announced on October 21–22, 2026, the creation of a new non-voting Class C share class, which holders of Class A and Class B shares will receive at a ratio of one Class C share for each share held. The distribution will take effect on January 19, 2027 and can be used for acquisitions, employee compensation, artificial intelligence projects and future fundraising without diluting Mark Zuckerberg’s voting power. Under the Founder Alignment Agreement, Zuckerberg may sell up to 20% of the Class C shares he receives, representing roughly 10% of his economic interest in Meta, while retaining control of about 60.6% of the votes through his Class B shares. The transaction, approved by entities controlled by Zuckerberg and Priscilla Chan without a separate shareholder vote, also requires him to remain a California resident for eight years. Meta plans to spend $135 billion to $145 billion on artificial intelligence in 2026, motivating a structure designed to preserve the founder’s influence and limit the governance power of outside shareholders.
