Bitari files for $30M IPO on Nasdaq to fund Bitcoin mining expansion

Bitari Inc., a Texas-based Bitcoin mining infrastructure company, filed an S-1 registration with the SEC on August 21, 2026, seeking to raise approximately $30 million through an IPO on the Nasdaq Global Market under the ticker BIAI, offering 4.28 million shares at $7.00 each. The company operates a 20 MW site in Wheeler, Texas, with a second 20 MW facility under development in Dumas, Texas, and a contracted 20 MW site in Marion, Indiana. For the nine months ended April 30, 2026, Bitari reported revenues of $8.37 million and net income of $183,905. The company plans to allocate 40% of net proceeds to acquisitions and has disclosed an AI data center project at its Wheeler site with up to 1,300 MW capacity, requiring a $15 million security deposit.
