Intel files shelf registration for potential common stock sales

Intel filed an automatic shelf registration statement with the SEC on January 23, allowing it to issue common stock, preferred stock, debt securities, warrants, and units over three years without raising immediate capital. The semiconductor giant is authorized to issue up to ten billion shares of common stock under this registration. The filing supersedes a prior prospectus tied to Intel’s agreement with the US Department of Commerce under the CHIPS Act, covering the potential resale of 673,839,150 shares held by the Commerce Department at a $20.00 warrant exercise price. No new shares are being offered and no capital is being raised at this stage.
