European Union rewrites merger rules to boost tech competition

The European Commission released draft Merger Guidelines on April 30, representing the first systemic update since the rules of 2004 and 2008. These new guidelines shift from a static market power assessment to a dynamic analysis incorporating innovation potential and future competitive positioning. Particular focus is placed on digital ecosystems, data access, platform interoperability, and compliance with the Digital Markets Act (DMA). Mergers involving crypto exchanges, custodians, data providers, or cross-border payment infrastructure will likely fall under this new regulatory framework, particularly in cases of vertical integration. The finalized guidelines are expected in Q4 2026, with a risk of longer approval timelines for merger operations in the European tech and fintech sector.
